Compagnie Gervais Danone (“CGD”) has announced plans of a possible absorption of Fan Milk International A/S (“FMI”) by December 31st, 2026.
In a statement released on July 17, 2026, CGD, which happens to be a subsidiary of Danone SA, a global food and beverage company with operations spanning essential dairy and plant-based products, waters, and specialised nutrition, disclosed that it now owns 100% of FMI, which in turn holds a 62.11% stake in Fan Milk PLC.
Under the proposed arrangement, CGD will now directly own FMI’s 62.11% shareholding in Fan Milk PLC.
“Compagnie Gervais Danone (“GD”) owns 100% of Fan Milk International A/S (“FMI”), which in turn holds 62.11% of the shares in Fan Milk PLC. CGD and FMI have entered into an agreement pursuant to which FMI would be absorbed by CGD.” the statement read
CGD however clarified that the move isn’t expected to change the ultimate control over the shareholding in Fan Milk PLC since it already wholly owns FMI adding that the move is an intra-group reorganization.
CGD added that the transaction which is expected to be completed by 31st July,2026 is still subject to completion of applicable legal and regulatory procedures in both France and Denmark given its cross-border nature.
It added that it is also engaging with Ghana’s Securities and Exchange Commission, the Ghana Stock Exchange, and other relevant stakeholders on regulatory considerations arising under Ghana’s Code on Takeovers and Mergers, 2008, and the Listing Rules for the Equities Market, February 2026.
